Queen Saenz + Schutz PLLC has an immediate opportunity available for an experienced paralegal to join the firm’s growing boutique corporate practice in Austin, Texas. This role will play a supporting role in transaction management, including financings, mergers and acquisitions and general governance matters.
Responsibilities include:
- Preparing draft documentation for filings with the Secretary of State and other state or federal government agencies, including charter documents, qualifications to transact business and UCC financing statements
- Coordinating the execution of various transaction documents for mergers and acquisitions, financings and other business transactions, including through DocuSign
- Performing basic private company governance matters and routine document preparation, including corporate legal research, drafting resolutions, preparing and maintaining detailed record books, and preparing stock certificates
- Managing lien searches and summarizing lien search results
- Preparing closing volumes, including indexing, document assembly and final distribution
Qualifications for ideal candidates:
- 4+ years of corporate paralegal experience
- Working knowledge of general corporate work
- Strong interpersonal and computer skills and excellent communication, organizational and prioritization skills, with the ability to handle multiple projects simultaneously
- Experience with complex transactions and the day-to-day demands and work flow requirements of a variety of clients with sophisticated needs
- Bachelor’s degree and/or Paralegal Certificate
