Queen Saenz + Schutz PLLC has an immediate opportunity available for an experienced paralegal to join the firm’s growing boutique corporate practice in Austin, Texas. This role will play a supporting role in transaction management, including financings, mergers and acquisitions and general governance matters.
Additional responsibilities include: preparing draft documentation for filings with the Secretary of State and other state or federal government agencies, including charter documents, qualifications to transact business and UCC financing statements; performing basic private company governance matters and routine document preparation, including corporate legal research, drafting resolutions, preparing and maintaining detailed record books, and preparing stock certificates; managing lien searches and summarizing lien search results; preparing closing volumes, including indexing, document assembly, binding and final distribution.
Qualifications: ideal candidates will have: 4+ years of corporate paralegal experience; a working knowledge of general corporate work; strong personal skills and excellent communication, organizational and prioritization skills, with the ability to handle multiple projects simultaneously; and experience with complex transactions and the day-to-day demands and work flow requirements of a variety of clients with sophisticated needs.
Bachelor’s degree and/or Paralegal Certificate is preferred. Remote working options will be considered during the COVID-19 pandemic.
